“Contractual termination”
As a partner in a LLC, I have doubts about the accuracy of the calculation of my dividend rights. As a result, I would like to consult the annual accounts for the last fiscal year. But the manager of the company, with whom I have a somewhat difficult relationship, is not very inclined to communicate them to me. What are my rights in this area?
The partners of a LLC(1) have the right to inspect, at any time, certain corporate documents (annual accounts, reports submitted to meetings, minutes of meetings) of the last three fiscal years. This right must be exercised at the registered office by the partner himself. If the manager refuses, you can ask the president of the commercial court to order the latter to provide you with these documents, subject to a penalty. But be careful, you cannot refer the matter to the judge without first going to the head office to try to consult the documents in question and having been unsuccessful.
