Statutory auditors

In France, many entities are required by law to appoint a statutory auditor. A statutory auditor verifies financial information in order to give a true and fair view of a company’s performance and financial position.

The statutory auditor is a sworn legal auditor who verifies the accounts of companies, associations, trade unions and public bodies.
The purpose of this legal obligation is to certify the regularity, sincerity and true and fair view of annual and consolidated financial statements. Our statutory auditors can also perform other legal assignments, known as services other than the certification of the financial statements. They are used to prepare specific reports, opinions or certificates in the following cases: regulatory obligations or in response to needs expressed by companies, and always in compliance with our Code of Ethics.

Certification of financial statements

In this process, our statutory auditors play an essential role in serving the public interest. In particular, they are bound by robust principles of independence and ethics.

Certification of the financial statements is a legal obligation that aims to verify that the company’s financial data complies with the standards in force. In order to promote transparency and trust, entities that are not subject to this legal obligation may also have their accounts certified.

The five stages of certifying the financial statements:

  1. Assessment of the internal controls of the audited entity.
  2. Analysis of the risks of material misstatement.
  3. Implementing the verifications to be performed, tailored to the size and complexity of the company.
  4. Issuing recommendations to governance bodies.
  5. Expressing an opinion on the financial statements.

Services other than certification of the financial statements

Companies may request that the statutory auditor provide services in addition to certifying the financial statements.

The statutory auditor may be asked by the company to provide services other than the certification of accounts. These services may include any related assignments that lead to certification of numerical data or processes, a report on financial transactions required by law, a mapping of the company’s risks and, more broadly, opinions and recommendations.

  • Regulatory obligations: mainly on capital transactions and verification of non-financial information (DPEF, tomorrow CSRD).
  • Depending on the needs you express at your own initiative: acquisition audits, VDD, certification of financial information, compliance audits, approval of prospectuses and registration documents, GDPR, opinions and recommendations, risk mapping, etc.

  • Commissariat ad-hoc: Since the Pacte Act came into force in 2019, entities without a statutory auditor must appoint an auditor specifically to issue reports for associates for most capital transactions.

Sophie Breton joined Exponens in 1994 after two years with KPMG. After taking charge of chartered accountancy assignments in a variety of fields, she set up the real estate department in 2005, providing accounting and tax assistance (bookkeeping, auditing, reporting, tax compliance, due diligence, etc.) for French and foreign real estate companies and investment funds.

In 2008, she initiated the development within the Exponens group of specific expertise in OPCI accounting, which today enables her to offer a range of services specifically dedicated to this type of real estate vehicle. Sophie Breton regularly runs professional training courses on this subject, and participates in the work of the accounting committee of the Association Française des Sociétés de Placement Immobilier (ASPIM).

Within Exponens, Sophie is a member of the Quality & Ethics Committee.
